End-User License Agreement

This End-User License Agreement ("EULA") is a legal agreement between you and [Company legal name] ("we", "us", "our"). It covers Chessware, the desktop app for Windows, and Chessware Lite, the browser version, including the launcher, any updates and any related documentation (together, the "Software").

By installing, activating or using the Software, you agree to this EULA. If you don't agree, don't install or use the Software.

This EULA works alongside our Terms of Service and Acceptable Use & Fair Play policy. If they conflict on how you may use the Software, this EULA applies.

1. License grant

As long as you hold a valid license key and follow this EULA, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to:

• install and use Chessware on one PC per license key, for the length of your plan; and
• use Chessware Lite, once it's available and if your plan includes it, through your account in a supported web browser,

for your own personal training and analysis.

The Software is licensed, not sold. We keep all rights that this EULA doesn't expressly grant to you.

2. License keys and activation

• Personal keys. Each license key is for the person whose account it belongs to.
• One PC. A key locks to the first PC that activates it. To do this, the Software creates an anonymous hardware fingerprint using a one-way hash. We store only the hash, not your hardware details.
• License period. Your license period starts at first activation, not at purchase.
• Device resets. If you move to a new PC, you can ask our support team to reset the key so you can activate it there. We may refuse resets that appear to be used to share a key or to get around this EULA.
• One active license per account. Only one license on your account is active at a time. A license is active until it expires or is revoked, including a key you haven't used in the Software yet. Keys you buy or redeem while you have an active license wait in your inventory: they haven't started, so their time doesn't run, they aren't locked to a PC and the Software won't accept them. You can activate a key from your inventory in your dashboard once you no longer have an active license; its license period then starts at first activation in the Software, like any other key.
• Keys we issue directly. Keys you receive from us directly and redeem in your dashboard are covered by this EULA in the same way, including the inventory rules above.

3. Online license checks

The Software needs an internet connection. When it starts, and every few minutes while it runs, it checks your license key with our server over an encrypted HTTPS connection. If your key is invalid, revoked, expired or locked to a different PC, or if a check can't be completed, the Software may stop working until the problem is resolved.

We process data for these checks as described in our Privacy Policy.

4. Restrictions

Except where applicable law expressly allows it despite this restriction, you must not:

• share your license key or account, or let anyone else use the Software under your license;
• sell, resell, rent, lease, lend, give away, sublicense or otherwise transfer the Software or a license key;
• reverse engineer, decompile or disassemble the Software, or otherwise try to obtain its source code;
• tamper with, disable, bypass or work around the license checks, the activation process or the hardware fingerprint, or emulate or impersonate our servers;
• modify, translate or create derivative works of the Software;
• remove or alter any copyright, trademark or other notices in the Software;
• use the Software to build a competing product or service;
• access our services with automated tools in ways the Software isn't designed for; or
• use the Software in breach of our Acceptable Use & Fair Play policy or any law.

5. Fair play

The Software is for training and analysis. You must not use it to get assistance during live games on any platform or in any event that forbids outside help. You are responsible for knowing and following the rules of each platform and event where you play. Breaking this rule may lead to your license being revoked.

6. Updates

We may release updates that fix problems, improve security, or add or change features. Updates are available from your dashboard. Some updates may be required to keep using the Software, and older versions may stop working with our license server. This EULA applies to all updates unless an update comes with different terms.

7. Ownership

The Software, including its code, design, content and documentation, and all intellectual property rights in it, belong to [Company legal name] or its licensors. If the Software includes third-party components, those components are licensed under their own terms, which apply to them.

8. Term and termination

This EULA starts when you first install, activate or use the Software, and continues until your license period ends or the EULA is terminated.

• By you. You can end this EULA at any time by uninstalling the Software and, if you wish, deleting your account.
• By us. We may end this EULA and revoke your license key if you break it, if your payment is refunded or charged back, or if the law requires us to.
• Account deletion. Deleting your account revokes and deletes all your license keys and ends this EULA.

When this EULA ends, your right to use the Software stops and you must uninstall it. Sections 4, 7, 9, 10, 11 and 12 continue to apply after it ends.

9. Warranty disclaimer

To the extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don't warrant that the Software will be error-free or uninterrupted, that its analysis and explanations will always be correct, or that using it will improve your results.

If you are a consumer, you may have legal rights, such as rights relating to the quality of digital content, that this EULA doesn't affect. If the Software doesn't work on a supported system and our support team can't fix it, see our Refund Policy.

10. Limitation of liability

To the extent permitted by law:

• we are not liable for indirect, incidental, special or consequential losses, or for loss of data, profits, revenue, goodwill or opportunity, arising from or related to the Software; and
• our total liability to you for all claims relating to the Software is limited to the amount you paid for your license in the 12 months before the event that gave rise to the claim.

Nothing in this EULA limits or excludes liability that can't be limited or excluded by law, such as liability for death or personal injury caused by negligence, for fraud, or under mandatory consumer protection law.

11. Export and compliance

You must comply with all export control and sanctions laws that apply to you and to the Software. Where those laws apply to your use of the Software, you confirm that you are not located in a country or region subject to comprehensive sanctions, and that you are not on any government list of prohibited or restricted persons.

12. Governing law

This EULA is governed by the laws of [country / state], and disputes will be handled by the courts of [country / state]. If you are a consumer, you keep the protection of the mandatory laws of the country where you live, and you may be able to bring proceedings there.

13. Changes to this EULA

We may update this EULA, for example when we release updates or change how licensing works. When we do, we'll change the "Last updated" date at the top of this page. If a change is significant, we'll tell you before it takes effect, through the website, your dashboard, our Discord server or by email. If you keep using the Software after a change takes effect, you accept the updated EULA.
